These Terms of Service ("Terms") govern your use of Posterly (the "Service"), operated by Grassroots Marketing LLC, trading as Posterly. By accessing or using the Service you agree to these Terms.

1. Account & Eligibility

You must be at least 16 years old to use the Service.

3. Subscriptions & Billing

Certain features are offered on a paid subscription basis billed monthly via Stripe. Free trials may be available. By starting a subscription, you authorize recurring billing until you cancel.

Refunds: Because Posterly is a digital subscription service, you agree to waive refunds once a billing period has started. You can cancel at any time to stop future billing. Your access continues until the end of the paid period.

4. Publishing on Your Behalf

When you connect social accounts, you grant the Service permission to publish and manage content on your behalf according to the scopes you approve. You can revoke access at any time via each platform’s security settings. Publishing operations are executed via background workers and a queue to improve reliability; we may begin processing shortly before the scheduled time to ensure timely delivery. We employ retries and backoff for transient failures. Exact posting times are not guaranteed and may be affected by platform rate limits, third‑party outages, or your account’s permissions.

5. Intellectual Property

You retain all rights to your content. You grant us a limited license to host, process, and transmit your content solely to provide the Service.

6. Service Availability & Changes

We strive for reliable uptime but do not guarantee uninterrupted access or exact publish times. The Service depends on third‑party platforms (e.g., Meta, Google/YouTube, TikTok, LinkedIn, X/Twitter) and infrastructure providers. Rate limits, quotas, and outages at those providers may impact performance. We may apply platform‑ specific concurrency limits and other protective measures to comply with third‑party policies. Features may change over time.

7. Third‑Party Services & Dependencies

To operate the Service, we rely on third‑party providers such as hosting, databases, and a managed Redis queue for background processing. Your use of features that integrate with third‑party platforms is also subject to each platform’s own terms and policies. Please review our Privacy Policy for additional disclosures about processors and operational logs.

Observability & Admin Controls: For operational reliability and abuse prevention, we maintain internal observability and administrative controls, including review/retry of a dead‑letter queue (DLQ) and the ability to pause/resume the queue. These controls are used solely to keep the Service healthy and do not grant access to your content beyond what is necessary to operate the Service.

8. Disclaimer & Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind. To the maximum extent permitted by law, we are not liable for indirect or consequential damages. Our aggregate liability is limited to fees you paid in the past 3 months.

9. Termination

You may cancel anytime via your account or support. We may suspend or terminate access for violations of these Terms.

10. Governing Law & Venue

These Terms are governed by the laws of the United Arab Emirates. Venue for disputes is the Dubai Courts.
